This is an agreement between World Family English Ltd. of Par-La-Ville Place, 2nd Floor, 14 Par-La-Ville Road, Hamilton HM 08, Bermuda (referred to as “World Family”, “we” or “us” below) and you concerning your use of World Family software on this device (the “World Family English Tab”).

1. Acceptance

a) By clicking or tapping Accept to this agreement, you agree to its terms.

b) We may update the terms of this agreement from time to time, in which case we will alert you to the new terms.

2. Ownership, license and use

a) The software on this World Family English Tab (“Software”), including the content and services that it provides access to (“Content”), belong to World Family and its licensors. By using the Software and Content, you agree that World Family and its licensors own all rights, including all intellectual property rights, in the Software and Content. Details of copyright ownership of the Software and Content are listed below under Copyright Notices. We reserve all rights not expressly granted to you in this agreement.

b) You may only use the Software and Content in accordance with this agreement.

c) World Family grants you a non-exclusive, personal, time-unlimited, non-sublicensable, non-transferable, revocable license to use the Software and Content subject to the following conditions and restrictions:

i) You comply with this World Family English Tab End User License Agreement.

ii) You may use the Software and Content for personal study only. You may not use the Software or Content for any commercial purpose.

iii) You may not copy or attempt to copy the Content or Software.

iv) You may not modify, translate, adapt, or create derivative works or improvements of, the Software or Content or any part of it.

v) You may not combine the Software or any part of it with any other programs.

vi) You may not reverse engineer, disassemble, decompile, decode, or attempt to access the source code of the Software.

vii) You may not remove, delete, change, or hide any trademarks or any copyright, trademark, patent, or other intellectual property rights or ownership notices in the Software or Content.

viii) You may not rent, sell, distribute, publish, transfer, or otherwise make available the Software, or any features or functionality of the Software, or Content to any third party for any reason.

ix) You may not use the Software or Content for purposes of competitive analysis or development of a competing software product or service, or any other purpose that is to World Family’s commercial disadvantage.

x) World Family may, at its discretion, make updates to the Software or Content available from time to time (the process for which is described under 4 below): if you do not have an active membership of the World Family Club you may not receive or get access to certain updates, e.g. access to World Family Club Content.

xi) The Software and Content may include elements that are accessible only by additional purchase. Where this is the case, additional terms and conditions may apply.

xii) You are responsible for obtaining and maintaining, at your own cost, a Wi-Fi infrastructure or capability to allow you to access any online features of the Software or Content.

3. Privacy and information

a) The way in which World Family uses your personal data to provide access to the Product and Content is described in our Privacy Policy, at https://www.worldfamilyenglish.com/privacy-en.

b) You will need to enter your details while connected to the internet from time to time as requested to maintain access to the Software and Content. These details may include a customer number that is assigned by your local World Family distributor, your phone number, or other details of your World Family Club membership, and a password (“Access Credentials”).

c) You will keep your Access Credentials confidential and not share them with anyone.  If you become aware of anyone else gaining knowledge of your Access Credentials, you will contact the Customer Services department of the World Family local distributor from whom you purchased the World Family English Tab as soon as possible to inform them.

d) To provide effective support and development of the Software and Content, World Family collects usage and performance information from World Family English Tabs when they connect to the internet and may share this information with its suppliers and its affiliates for the same purpose.

4. Delivery of Software and Content updates

World Family may deliver Software and Content updates to your World Family English Tab from time to time. Depending on the nature of an update, you may be prompted by the Software to accept the download and installation. You agree to download and install all such updates promptly: Software or Content may not operate properly if you fail to do so. Alternatively, the update may take place automatically while your World Family English Tab is connected to the internet but not in use. Whenever feasible, we will schedule automatic updates to take place while the device is unlikely to be in use (for example, in the early hours of the morning.) You agree that all updates will be deemed part of the Software and be subject to all terms and conditions of this agreement.

5. Warranty and disclaimer; Limitation of Liability

a) The details of your warranty in relation to the World Family English Tab, including its Software and Content, are set out in the warranty card that you received from the distributor from which you purchased the device.

b) OTHER THAN THE WARRANTY REFERRED TO IN SECTION 5(a),THE SOFTWARE IS PROVIDED “AS IS” AND WORLD FAMILY HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WORLD FAMILY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. EXCEPT FOR THE WARRANTY SET FORTH IN SECTION 5(a), WORLD FAMILY MAKES NO WARRANTY OF ANY KIND THAT THE SOFTWARE WILL OPERATE WITHOUT INTERRUPTION, OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE, OR ERROR FREE. WITH REGARD TO THE CONTENT, WORLD FAMILY MAKES NO WARRANTY OF ANY KIND RELATING TO ACCURACY, COMPLETENESS, OR RESULTS TO BE OBTAINED FROM USE OF THE CONTENT.

c) NEITHER WORLD FAMILY NOR ANY OF ITS AFFILIATES, DISTRIBUTORS OR LICENSORS WILL BE RESPONSIBLE FOR ANY LOSS RESULTING FROM YOUR USE OF OR RELIANCE ON THE SOFTWARE OR CONTENT, INCLUDING (WITHOUT LIMITATION)ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, COMPENSATORY OR INCIDENTAL DAMAGES, EVEN IF WORLD FAMILY, ITS AFFILIATES, DISTRIBUTORS OR LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. Termination

If we reasonably determine that you are materially violating any of the terms of this agreement, we may terminate your access and use of the Software and Content on written notice to you, whether through the Software or any customer contact details that you provided to us or the distributor through which you purchased your World Family English Tab.

7. General

a) The terms and conditions of this agreement are the only ones that apply between World Family and you in respect of the subject matter of this agreement.

b) The unenforceability of any term or part of this agreement shall not affect the enforceability of the remainder of this agreement.

c) This agreement shall be interpreted according to the laws of Bermuda, and the Bermudan courts shall have exclusive jurisdiction over any dispute.
